UPDATE:  NICE-Systems Ltd., a leading provider of both cloud and on-premise enterprise software solutions, announced the closing of its acquisition of inContact, Inc., a cloud contact center software provider, on November 14, 2016. Status: Upcoming/New Filing

On August 11, 2016, shareholders of U.S.-based inContact, Inc., a leader of cloud contact center software, approved a merger agreement whereby inContact would be acquired by Israel-based NICE-Systems Ltd., a leading provider of enterprise software solutions.  (See inContact’s Form 8-K SEC Filing here; inContact Schedule 14A Proxy Statement here; Reuters report here.)  According to inContact’s proxy statement describing the transaction, an Agreement and Plan of Merger was executed on May 17, 2016 with NICE-Systems, and the merger cannot be completed until approval has been obtained from CFIUS, among other regulatory requirements.  (See inContact Schedule 14A Proxy Statement here.)   The acquisition is expected to close in the second half of 2016 and the combination will create the “industry’s first fully integrated cloud contact center solution suite” and create a “single vendor [that] offers both contact center cloud applications and an open cloud platform.” (See inContact Press Release here.)
