On September 18, 2018, Command Security Corporation, a publicly traded New York corporation (NYSE: MOC) (the “Company”) that provides “uniformed security officers and aviation security services to commercial, financial, industrial, aviation and governmental customers throughout the United States,” entered into an agreement with Prosegur Compañía de Seguridad, S.A., a publicly traded Spanish security solutions company (BME:PSG) pursuant to which Command Security Corporation will be acquired by Prosegur SIS (USA) Inc., a Florida corporation and wholly-owned subsidiary of Prosegur, Prosegur Compañía de Seguridad, S.A., for $2.85 in cash per share.
