On April 25, 2018, Mattersight Corporation, a US producer of personality-based software applications, entered into a definitive agreement to be acquire by NICE Systems, Inc., a subsidiary of NICE Ltd. (formerly Nice-Systems Ltd.), an Israeli based “provider of both cloud and on-premises enterprise software solutions.” (Press Release, Mattersight Corporation Form 8-K, Ex-99.1, Apr. 26, 2019, SEC Filing; see also Agreement and Plan of Merger, Mattersight Corporation Exhibit 2.1, SEC Filing, April 25, 2018.) Under the agreement, “NICE will launch a tender offer to purchase all outstanding shares of Mattersight’s common and preferred stock.” (Id.) Mattersight Corporation’s software provide solutions “to learn, analyze, and predict customer behavior based on customer conversations …” (Id.) “On August 13, 2018, the parties received written confirmation from CFIUS that it has completed its review of the transactions contemplated by the Merger Agreement under the DPA and determined that there are no unresolved national security concerns with respect to the transactions contemplated by the Merger Agreement.
