An increasing number of investments in the US initiated by Japanese companies, or involving Japanese companies, are now subject to US national security review by the Committee on Foreign Investment in the United States (CFIUS). Therefore, buyers are engaging in additional due diligence, CFIUS risk assessments and exploring alternatives to achieve their objectives in the US market.
In this seminar, our International Trade and National Security team from Washington DC and our Tokyo Corporate M&A partners will discuss several market entry strategies, including the key ways for Japanese companies to obtain CFIUS clearances for their M&A deals and the types of mitigation measures that are available. We will share insights on the special issues confronting Japanese companies and their subsidiaries when doing business with the US government, investing in critical or national security sensitive sectors, such as technology, infrastructure and defense, or facing unforeseen US policy challenges and export controls and government contracts compliance concerns or restrictions. Presentation will be mostly in English with bilingual (Japanese) slides.
